⚠️ BINDING AGREEMENT - READ CAREFULLY
BY ENROLLING IN, APPLYING TO, OR PARTICIPATING IN THE CAPERFUME AFFILIATE PROGRAM IN ANY MANNER, YOU EXPRESSLY AGREE TO BE LEGALLY BOUND BY ALL TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT.
This includes, but is not limited to:
- Clicking "I Agree" or "Sign Up" on any enrollment form
- Accessing your affiliate dashboard
- Using any affiliate tracking links
- Promoting CaPerfume products in any capacity
- Accepting any commission payments
If you do not agree to these terms, you must immediately cease all participation in the Program and may not use any affiliate links or promotional materials.
These Affiliate Terms & Conditions ("Agreement") constitute a legally binding contract between CaPerfume, a business operating in Santa Ana, California ("CaPerfume," "Company," "we," "us," or "our") and the individual or entity participating in the CaPerfume Affiliate Program ("Affiliate," "you," or "your").
You acknowledge that:
- You have read and fully understand all provisions of this Agreement
- You have had the opportunity to seek independent legal counsel
- You voluntarily agree to all terms without duress or coercion
- This Agreement is enforceable and creates binding legal obligations
- Violations may result in legal action and financial penalties
1. PROGRAM PURPOSE & CORE PRINCIPLES
1.1 Program Intent
The CaPerfume Affiliate Program exists exclusively to reward partners who drive new, incremental customer acquisition through:
- Original, value-adding content
- Genuine product recommendations based on authentic experience
- Transparent audience engagement
- Meaningful customer education
1.2 The Incrementality Standard
Core Principle: Commissions are awarded only for conversions that would not have otherwise occurred without the Affiliate's direct, meaningful intervention.
What This Means:
- The customer must discover CaPerfume through the Affiliate's original content or recommendation
- The referral must represent genuine value creation, not attribution interception
- The customer must not already be in the purchase process when the affiliate link is triggered
- The affiliate must add substantive value to the customer journey
1.3 Prohibited Intent
This Program is NOT:
- A rebate mechanism for existing customers
- A discount tool for self-purchases
- A system for intercepting organic brand searches
- An opportunity to manipulate attribution without adding value
- A platform for automated or low-quality traffic arbitrage
- A tool for cookie stuffing or checkout interference
Any attempt to use the Program for these purposes constitutes material breach, fraud, and grounds for immediate termination with commission forfeiture.
2. ELIGIBILITY & APPROVAL
2.1 Application Requirements
To be considered for the Program, applicants must:
- Maintain an active website, blog, social media presence, or content platform
- Disclose primary traffic sources and promotional methods
- Provide accurate contact and payment information
- Demonstrate alignment with CaPerfume's brand values and quality standards
- Comply with all applicable laws and regulations
- Have no prior termination from this or similar programs for fraud
2.2 Approval & Discretion
- Participation is subject to approval at CaPerfume's sole and absolute discretion
- We reserve the right to accept or reject any application without explanation
- Approval may be granted conditionally and subject to ongoing compliance review
- We may remove Affiliates at any time if standards are no longer met
- Prior approval does not guarantee future participation
2.3 Ongoing Compliance
Continued participation requires:
- Adherence to all terms of this Agreement
- Maintenance of quality content standards
- Cooperation with audits and compliance reviews
- Transparent communication regarding promotional methods
- Immediate disclosure of any material changes to traffic sources or methods
3. APPROVED PROMOTIONAL METHODS
3.1 Permissible Activities
Affiliates may promote CaPerfume through:
Content-Based Promotion:
- Original editorial content (blogs, articles, guides)
- Video reviews or demonstrations based on actual product use
- Social media posts with authentic engagement
- Email newsletters to opted-in subscribers
- Comparison reviews based on genuine product experience
- Educational content about perfume oils, fragrance families, or scenting
Quality Standards: All promotional content must:
- Provide substantive value to the audience beyond just affiliate links
- Be based on actual product knowledge, use, or research
- Include clear, conspicuous affiliate disclosure per FTC guidelines
- Accurately represent CaPerfume products and brand
- Not make false, misleading, or exaggerated claims
- Reflect CaPerfume's positioning as luxury, affordable perfume oils
3.2 FTC Disclosure Requirements
MANDATORY: All affiliate relationships must be clearly and conspicuously disclosed.
Required Disclosure Placement:
- Visible before or immediately adjacent to affiliate links
- Clear and unambiguous language (e.g., "I earn a commission if you purchase through this link")
- Not hidden in footnotes, tooltips, collapsed sections, or buried in text
- Repeated on each page containing affiliate links
Compliant Examples:
- "This post contains affiliate links. I may earn a commission if you purchase through these links."
- "As a CaPerfume affiliate, I earn from qualifying purchases."
- "Affiliate Disclosure: I receive a commission when you purchase through this link."
Non-Compliant Examples:
- Generic "some links may be affiliate links" disclaimers without specificity
- Disclosures placed only in site-wide Terms of Service or About pages
- Ambiguous language that doesn't clearly state financial relationship
- Disclosures that require user action to view (click to expand, hover, etc.)
4. STRICTLY PROHIBITED ACTIVITIES
⚠️ CRITICAL NOTICE: Violation of ANY provision in this section constitutes immediate, material breach and will result in:

Immediate termination from the Program without notice

Forfeiture of ALL pending commissions regardless of validation status

Reversal of previously paid commissions where fraud is detected, with demand for repayment

Potential legal action for fraud, breach of contract, or violation of California Business & Professions Code
YOU ACKNOWLEDGE THAT THESE PENALTIES ARE REASONABLE AND PROPORTIONATE TO THE HARM CAUSED BY PROHIBITED ACTIVITIES.
4.1 Cookie Manipulation & Attribution Abuse
PROHIBITED: Any method of setting a tracking cookie without affirmative, conscious user action on a clearly labeled affiliate link.
Specific Violations Include:
A. Cookie Stuffing
- Using 1x1 pixels, web beacons, or tracking pixels to set cookies without user knowledge
- Hidden iFrames that load CaPerfume pages invisibly in the background
- Pop-unders or background windows that trigger without user initiation
- Any automated cookie-setting mechanism that doesn't require deliberate user click
- Loading affiliate links in hidden page elements
B. Forced Redirects
- Automatically redirecting users to CaPerfume without explicit, intentional click
- Redirect chains that obscure the affiliate relationship or original source
- JavaScript or meta-refresh redirects triggered without affirmative user action
- Auto-forwarding from content pages to CaPerfume site
- Exit pop-ups that redirect to CaPerfume when user attempts to leave
C. Cookie Overwriting
- Software, browser extensions, or scripts that detect and replace other affiliates' cookies
- "Cookie cleaning" tools that remove existing cookies before setting new ones
- Any method designed to claim attribution from legitimate referrers
- Intentionally short cookie durations designed to interfere with other affiliates
- Last-click attribution manipulation
D. Session Hijacking
- Intercepting users already browsing CaPerfume website
- Injecting affiliate parameters into existing sessions
- Modifying browser behavior during active CaPerfume sessions
- Adding affiliate tracking to users who arrived via organic search
- "Piggyback" attribution on other marketing channels
Legal Definition: For purposes of this Agreement, "meaningful engagement" requires:
- Minimum 15-second session duration from initial affiliate link click
- At least one page interaction (scroll, click, or form entry) before conversion
- Clear referral path from affiliate content to CaPerfume site
- No evidence of automated or manipulated traffic patterns
4.2 Coupon Injection & Checkout Interference
PROHIBITED: Any technology, software, or method that interferes with or modifies the customer checkout process.
Specific Violations Include:
A. Coupon Injection & Shopping Assistants
- Browser extensions that automatically apply, suggest, or test coupons at checkout
- "Shopping assistant" tools that pop up, overlay, or modify checkout pages
- Toolbar software that alters CaPerfume checkout interface or functionality
- Any automated coupon testing, application, or suggestion mechanism
- Software that compares prices or offers during CaPerfume checkout
⚠️ DETECTION NOTICE: CaPerfume employs real-time monitoring for coupon injection events. Sales involving detected injection will be:
- Automatically flagged and voided
- Excluded from commission calculations
- Investigated for pattern fraud
- Used as evidence for potential Program termination
B. Unauthorized Coupon Distribution
- Promoting, sharing, or distributing coupon codes not explicitly assigned to your affiliate account
- Scraping, copying, or aggregating codes from other sources (email campaigns, social media, competitor sites, other affiliates)
- Sharing private, exclusive, or limited-use codes intended for specific audiences
- Creating "coupon aggregator" or "deal" pages without authorization
- Redistributing codes marked as "single use" or "private"
C. Price Misrepresentation
- Falsely claiming unauthorized discounts, promotions, or price reductions
- Creating artificial urgency ("limited time offer," "expires today") without authorization
- Misrepresenting product pricing, MSRP, or savings calculations
- Showing crossed-out "regular prices" that were never actual prices
- Advertising sales or promotions not currently active
D. Click-to-Reveal & Gatekeeping Tactics
- "Click to reveal code" mechanics designed solely to capture affiliate attribution
- Requiring user action (click, form submission, email opt-in) to display publicly available codes
- Gatekeeping access to promotional codes users could easily find elsewhere
- Creating unnecessary friction to inflate engagement metrics
- Hiding codes behind timers, surveys, or other barriers
4.3 Brand Hijacking & Trademark Violations
PROHIBITED: Any use of CaPerfume trademarks, brand elements, or brand equity to intercept brand-driven traffic or create false affiliation.
Specific Violations Include:
A. Paid Search (PPC) Violations
Absolutely Prohibited:
- Bidding on "CaPerfume" or any variation, misspelling, or derivative in Google Ads, Bing Ads, or any PPC platform
- Prohibited terms include but not limited to:
- "CaPerfume"
- "Ca Perfume"
- "Capefume"
- "CA Perfume oils"
- "Kperfume"
- "Caperfumes"
- Any phonetic variations or common misspellings
- Using CaPerfume as a keyword in any match type (exact, phrase, broad, modified broad)
- Displaying caperfume.com or any confusingly similar URL as Display URL
- Using brand terms in ad copy, headlines, or descriptions without explicit authorization
Mandatory Compliance:
All Affiliates running paid search campaigns must:
- Add "CaPerfume" and ALL variations as negative exact match keywords across all campaigns
- Monitor search query reports weekly for brand term appearances
- Immediately pause any ads triggering on brand terms
- Provide quarterly certification of negative keyword compliance upon request
B. Domain Name & URL Abuse
- Registering domains containing "CaPerfume," "Ca Perfume," or confusingly similar variations
- Creating websites designed to appear as official CaPerfume properties or authorized resellers
- Using domain names that mislead users about relationship, affiliation, or authorization
- Typosquatting on CaPerfume domain variations
- Creating microsites mimicking CaPerfume's URL structure
C. Brand Impersonation & Misrepresentation
- Representing yourself as CaPerfume, an employee, or an official representative
- Claiming to be an "authorized dealer," "official partner," or similar designation without explicit written permission
- Using CaPerfume logos, product images, or brand assets without clear "Affiliate Partner" disclosure
- Creating social media accounts, pages, or profiles that appear to be official CaPerfume channels
- Responding to customer inquiries as if you represent CaPerfume
- Designing websites that intentionally mirror CaPerfume's visual identity, layout, or user experience to create confusion
D. Review Site Manipulation & SEO Abuse
- Creating "fake review" sites designed solely to rank for brand keywords without genuine reviews
- Publishing reviews without actual product experience, use, or purchase
- Using black-hat SEO tactics to artificially rank for "CaPerfume review" or similar terms
- Buying or exchanging backlinks to manipulate search rankings for brand terms
- Creating automated or templated "review" pages with minimal original content
- Scraping or copying CaPerfume product descriptions for SEO purposes
4.4 Low-Quality, Artificial & Manipulated Traffic
PROHIBITED: Any traffic source that does not represent genuine, organic human interest and intent.
Specific Violations Include:
A. Automated & Bot Traffic
- Bot traffic, automated clicking, or script-generated visits
- Click farms, paid click services, or micro-task platforms
- Traffic exchange programs or reciprocal clicking arrangements
- Auto-surf, auto-click, or traffic rotation software
- Any non-human traffic generation method
B. Incentivized & Compensated Traffic
- Paying users to click affiliate links or make purchases
- Offering rewards, cashback, rebates, or points for purchases through affiliate links
- Loyalty programs tied to affiliate conversions
- Contests or giveaways that require affiliate link clicks or purchases
- Any form of user compensation contingent on affiliate activity
C. Thin Content & Low-Value Sites
- Pages consisting solely or primarily of coupon code listings without substantive content
- "Review" sites with minimal, AI-generated, or plagiarized content
- Automatically generated product listing pages with no original value
- Sites with no editorial content beyond affiliate link placement
- Doorway pages or landing pages designed solely for search engine manipulation
- MFA (Made for Ads) sites with minimal user value
D. Traffic with Suspicious Patterns
Traffic exhibiting any patterns defined in Section 5 (Fraud Detection), including but not limited to:
- Abnormally high conversion rates (>15%)
- Abnormally low page views per conversion (<2 pages)
- Rapid repeat orders from same affiliate source
- Geographic distribution inconsistent with disclosed audience
- Time-to-conversion anomalies (<30 seconds)
- Cookie attribution irregularities
E. Spam & Unsolicited Communication
- Unsolicited email marketing (spam)
- Bulk SMS or messaging campaigns without opt-in
- Comment spam on blogs, forums, or social media
- Unwanted direct messages containing affiliate links
- Any promotional method violating CAN-SPAM Act or similar regulations
5. FRAUD DETECTION & SUSPICIOUS ACTIVITY INDICATORS
5.1 Automated Monitoring System
YOU ACKNOWLEDGE AND AGREE THAT:
CaPerfume employs continuous, automated fraud detection systems monitoring all affiliate traffic 24/7 for suspicious patterns, anomalies, and fraud indicators.
We actively monitor and analyze:
- Real-time conversion velocity and rates
- Time-to-conversion metrics (click to purchase)
- Geographic distribution patterns and IP analysis
- Session behavior, duration, and engagement metrics
- Order clustering, timing, and repeat patterns
- Cookie attribution pathways and referral sources
- Browser fingerprinting and device analysis
- Conversion rate benchmarking against legitimate affiliates
- Page view depth and user interaction patterns
- Shopping cart and checkout behavior
Machine learning algorithms continuously:
- Identify statistical anomalies
- Flag outlier performance patterns
- Detect coordinated fraud rings
- Compare against known fraud signatures
- Predict fraud probability scores
5.2 Defined Suspicious Activity Indicators
The following patterns trigger automatic review and commission withholding:
A. Abnormally High Conversion Rates
Threshold: Conversion rates exceeding 15%
Industry Context:
- Legitimate affiliate content: 2-5% conversion rate
- High-quality influencer content: 5-10% conversion rate
- Anything above 15% is statistically improbable without fraud
Additional Indicators:
- Conversion rates significantly higher (>3x) than comparable traffic sources
- Sudden, unexplained spikes in conversion rate without corresponding traffic quality changes
- Consistent conversion rates above threshold over multiple weeks
What This Indicates:
- Cookie stuffing (setting cookies on users already intending to purchase)
- Checkout interception (injecting attribution at final purchase stage)
- Self-referral fraud (using own links for purchases)
- Organized fraud rings with coordinated purchasing
Legal Standard: Conversions above this threshold will be presumed fraudulent unless Affiliate provides documented, verifiable evidence of legitimate promotional activity generating such results.
B. Abnormally Low Page Views Per Conversion
Threshold: Less than 2 page views per conversion
Normal User Behavior:
- Legitimate referred customers view 4-8 pages before purchase
- First-time customers typically browse 5-12 pages
- Less than 2 pages indicates user didn't browse—they were intercepted at checkout
Additional Indicators:
- Session durations under 30 seconds before purchase completion
- Direct-to-checkout patterns without product browsing
- Missing or incomplete referral page data in analytics
- No product page views before cart addition
What This Indicates:
- User was already on CaPerfume site when affiliate attribution was injected
- Cookie stuffing or checkout interception
- Browser extension or toolbar adding affiliate parameters during existing session
- User was searching for CaPerfume brand directly (not discovering through affiliate)
Legal Standard: Conversions with <2 page views will be presumed to be attribution hijacking rather than genuine referrals unless explained with documented evidence.
C. Repeated Orders Within Minutes (Clustering)
Threshold: Multiple completed orders from same affiliate link within 5-minute windows
Normal Purchasing Patterns:
- Individual customers make single purchases with deliberation
- Natural conversion patterns show distributed timing across hours/days
- Clusters suggest coordinated or automated activity
Additional Indicators:
- 3+ orders within 10 minutes from same affiliate
- Consistent pattern of rapid-fire conversions
- Orders from same IP address in rapid succession
- Sequential order numbers from same affiliate source
- Similar cart compositions across clustered orders
What This Indicates:
- Self-referral fraud (affiliate making multiple purchases through own link for commissions)
- Organized purchasing rings (coordinated group fraud)
- Bot-driven automated purchasing
- Friends/family purchases (violating self-referral prohibition)
- Test purchases to manipulate metrics
Legal Standard: Clustered orders will be presumed coordinated fraud and all commissions from the cluster forfeited unless each order is proven to be from distinct, unrelated customers.
D. Geographic Mismatch
Threshold: Order locations significantly inconsistent with Affiliate's disclosed audience geography
Analysis Criteria:
- Affiliate claims primary audience in specific region (e.g., "US fashion blog")
- But 50%+ of conversions come from different region (e.g., Eastern Europe, Southeast Asia)
- Shipping addresses concentrated in areas where affiliate has no documented presence
- Language/region mismatch (English content driving orders from non-English regions)
Red Flag Examples:
- US lifestyle influencer generating 80% of sales from Romania
- UK beauty blogger with all conversions shipping to Philippines
- Spanish-language content driving exclusively US orders
- No social media following or web traffic from regions generating orders
What This Indicates:
- Traffic source misrepresentation (undisclosed paid traffic from abroad)
- Click farms or paid traffic services
- Organized fraud operations in specific countries
- VPN-masked bot traffic
- Affiliate is not driving traffic from claimed audience
Legal Standard: Geographic mismatch requires immediate explanation within 7 days or commissions will be forfeited. Acceptable explanations must include verifiable documentation of international audience.
E. Time-to-Conversion Anomalies
Threshold: Purchases completed within 30 seconds of affiliate cookie being set
Normal Customer Journey:
- Legitimate customers spend 3-15 minutes browsing before purchase
- First-time customers average 8-12 minutes from arrival to checkout
- Sub-30-second conversions indicate no actual shopping occurred
Additional Indicators:
- Consistent pattern of <60-second conversions (90%+ of orders)
- No product page views between click and purchase
- Instant cart addition and checkout
- Checkout completion faster than humanly possible (e.g., <15 seconds)
What This Indicates:
- Customer was already in checkout process when affiliate cookie was set
- Coupon injection browser extension firing at checkout
- Cookie stuffing during existing shopping session
- Affiliate link clicked from CaPerfume site itself (circular referral)
- User specifically searching for CaPerfume, clicked affiliate link only for discount
Legal Standard: Orders with <30-second time-to-conversion will be presumed checkout interception unless affiliate provides evidence of promotional method that would create such immediate purchasing behavior.
F. Cookie Attribution Irregularities
Threshold: Technical anomalies in cookie data, referral paths, or attribution chains
Specific Irregularities:
- Missing or incomplete referral data (no clear source URL)
- Evidence of cookie overwriting (multiple affiliate IDs in single session)
- Attribution chains showing sequential affiliate cookies
- Cookie lifetime inconsistent with user behavior
- Referral URLs that don't match affiliate's disclosed traffic sources
- Direct traffic flagged with affiliate cookie (indicating cookie stuffing)
- Server-side attribution manipulation
What This Indicates:
- Technical fraud or attribution manipulation
- Cookie stuffing or forced cookie placement
- Multiple affiliates attempting to claim same conversion
- Browser extension or software interfering with natural attribution
Legal Standard: Any technical irregularity triggers immediate investigation with burden of proof on affiliate to explain anomaly.
5.3 Burden of Proof & Investigation Procedure
ONCE SUSPICIOUS INDICATORS ARE DETECTED:
Phase 1: Automatic Flagging
- System automatically flags account for review
- All pending commissions immediately withheld
- Affiliate account may be temporarily suspended from generating new links
Phase 2: Notification
- CaPerfume will notify affiliate via email within 7 business days
- Notice will specify suspicious indicators detected
- Affiliate will have 14 calendar days to respond with documentation
Phase 3: Burden of Proof CRITICAL: CaPerfume has NO burden to prove fraud.
Instead:
- Affiliate MUST provide documented, verifiable evidence that flagged activity was legitimate
- Failure to respond within 14 days = automatic commission forfeiture
- Inadequate or unconvincing evidence = commission forfeiture at CaPerfume's sole discretion
- Burden is entirely on Affiliate to prove legitimacy
Phase 4: Determination
- CaPerfume reviews evidence and makes final determination within 30 days
- Decision is final and not subject to appeal
- If fraud confirmed: permanent termination + commission clawback
- If legitimacy proven: commissions released (minus any reversals for returns)
ACCEPTABLE EVIDENCE INCLUDES:
For Content-Based Affiliates:
- Screenshots or links to original content featuring CaPerfume with visible publication dates
- Google Analytics screenshots showing traffic sources, engagement, and conversion paths
- Social media analytics showing post reach, engagement, and click-through rates
- Detailed explanation of promotional campaign methodology
- Email marketing reports (if disclosed traffic source)
- Proof of audience demographics matching order geography
For Paid Traffic Affiliates:
- Ad platform screenshots (Google Ads, Facebook Ads) showing campaigns, spend, targeting
- Proof of negative keyword implementation for brand terms
- Landing page screenshots showing compliant disclosure
- Campaign performance reports with detailed metrics
- Verification that ads did not violate Section 4.3 (no brand bidding)
For All Affiliates:
- Server logs or analytics proving traffic originated from disclosed sources
- Detailed explanation of any anomalies with supporting data
- Customer testimonials or communications (if available and consented)
- Any other documentation proving genuine value-add promotional activity
INSUFFICIENT OR UNACCEPTABLE EVIDENCE:
- Generic claims of "social media promotion" without specific examples
- Refusal to disclose specific traffic sources or methods
- Vague explanations inconsistent with data patterns
- Screenshots that appear altered or fabricated
- Explanations that don't address the specific suspicious indicators
- "I don't know why my metrics look like that"
- Claiming technical glitches without supporting evidence
- Blaming third-party tools or platforms without documentation
LEGAL CONSEQUENCE:
Failure to provide satisfactory evidence within required timeframe results in:

Permanent forfeiture of all flagged commissions

Review of all historical commissions for potential clawback

Immediate termination from Program if fraud is confirmed

Blacklisting from future participation
5.4 Extended Investigation Authority
CaPerfume reserves the right to:

Extend investigation period up to 90 days for complex fraud patterns

Request additional documentation at any point during investigation
-
Conduct third-party verification of traffic sources or promotional claims
-
Cross-reference data with other affiliates to identify coordinated fraud rings
-
Employ forensic analysis of server logs, cookies, and attribution data
-
Contact customers to verify how they discovered CaPerfume (with appropriate privacy protections)
-
Withhold ALL commissions (not just flagged ones) if fraud is suspected
-
Audit ALL historical conversions if pattern fraud is discovered
You agree to cooperate fully with any investigation, including:
- Providing access to analytics platforms (Google Analytics, social media insights)
- Sharing advertising campaign details and screenshots
- Explaining traffic source methodologies
- Allowing review of content and promotional materials
- Responding to follow-up questions within 7 days
Non-cooperation constitutes admission of fraud and results in immediate forfeiture of all commissions and permanent termination.
6. ATTRIBUTION & COMMISSION POLICY
6.1 Attribution Standards & Requirements
Commissions are awarded exclusively for conversions meeting ALL of the following criteria:
1. Genuine Customer Interest
Customer actively sought information about luxury perfume oils, fragrance, or related topics through:
- Search queries indicating purchase intent
- Social media engagement with beauty/fragrance content
- Newsletter subscription to beauty/lifestyle content
- Browsing fragrance-related websites or content
2. Meaningful Interaction
Minimum requirements:
- 15-second session duration from initial affiliate click
- At least one page interaction (scroll, click, product view, or form entry)
- Natural browsing behavior consistent with human engagement
- No evidence of automated or bot activity
3. Verifiable Referral Path
Clear, unbroken attribution showing:
- User clicked affiliate link from disclosed traffic source
- Arrived at CaPerfume via affiliate link (not direct or organic)
- No intermediate cookie manipulation or overwriting
- Referral URL matches affiliate's promotional method

- Other marketing channels (email, social ads) where affiliate intercepted
- Word of mouth or offline recommendation
LEGAL STANDARD:
If any of these five criteria are not met, the conversion is not eligible for commission, regardless of whether a technical sale occurred.
6.2 Commission Rates & Calculation

- Rates subject to change with 30 days notice
- Calculated on product subtotal only (excluding tax, shipping, discounts)

- Chargebacks or payment disputes
- Fraudulent customer orders (stolen credit cards, etc.)
- Order marked as undeliverable
2. Affiliate Violations:

- Self-referral or self-purchase detected
- Terms violations discovered post-payment
- Fraud discovered through investigation
- Non-cooperation with audit or investigation
3. Attribution Issues:
- Duplicate attribution claims (multiple affiliates claiming same order)
- Cookie manipulation detected post-payment through forensic analysis
- Evidence of interception or hijacking discovered later
- Technical errors in attribution (corrected retroactively)
- Order determined to be non-incremental (customer already aware of CaPerfume)
4. Quality or Compliance Issues:
- Affiliate content found to violate advertising laws

- Misleading claims about CaPerfume products
- Use of unauthorized claims or medical/health benefits
6.5 Self-Referral Prohibition
STRICTLY PROHIBITED:
Using your own affiliate links to:
- Purchase products for yourself
- Purchase gifts for family or friends
- Obtain discounts on personal orders
- Generate commissions on your own spending
This includes:
- Direct self-purchases through your links
- Purchases by household members using your links
- Purchases by business entities you control
- Coordinated purchases by friends/family through your links
- Any scenario where you benefit from both product AND commission
Detection:
- Shipping address matches affiliate address: automatic flag
- Billing info matches affiliate payment info: automatic flag
- Repeat orders to same address from same affiliate: investigation
- Customer email matches affiliate email or domain: automatic flag
Penalty:
- Immediate forfeiture of ALL self-purchase commissions
- Review of all historical orders for self-referral patterns
- Potential termination for repeated violations
- Demand for repayment of fraudulent commissions
6.6 Commission Clawback Provision
CaPerfume reserves the absolute right to:

7.2 Mandatory Cooperation Requirement
Upon request, Affiliates MUST provide within 7 business days:

- Agents or representatives of CaPerfume
- Partners in a partnership or joint venture
- Franchisees or distributors
- Authorized resellers or retailers
Legal Implications:
- No employment benefits (health insurance, retirement, paid leave, etc.)
- Not eligible for workers' compensation
- Not covered by CaPerfume's liability insurance
- Responsible for own business expenses
- Subject to independent contractor tax treatment
11.2 No Authority to Bind
Affiliates Have NO Authority To:

- Do not provide shipping updates, tracking info, or order status

11.3 Sole Responsibility & Liability
You Are Solely Responsible For:

- Compliance with all applicable federal, state, and local laws

- Privacy laws (GDPR, CCPA, etc.) if collecting user data
- Intellectual property rights of third parties
- Tax laws and filing obligations
- Business licensing requirements in your jurisdiction

- Reporting affiliate income on tax returns
- Paying estimated taxes (if required)
- Self-employment tax (if applicable)

Your Content & Conduct:
- Accuracy of claims and statements

- Compliance with platform terms (Google, Facebook, YouTube, etc.)
- Relationships with your audience

- Risk of non-payment for violations

CaPerfume Has NO Responsibility For:
- Your business success or failure
- Profitability of your promotional efforts
- Third-party platform policy changes affecting your business
- Changes in consumer behavior or market conditions
- Technical issues with your websites or systems
11.4 No Partnership or Joint Venture
This Agreement Does NOT Create:
- Shared profits or losses beyond defined commissions
- Joint decision-making authority
- Shared liability for debts or obligations
- Fiduciary duties between parties
- Ownership interests in either business
Each Party:
- Operates independently
- Bears own business risks
- Makes own business decisions
- Maintains separate finances and operations
11.5 No Exclusivity
CaPerfume:
- May engage unlimited other affiliates
- May modify commission structures without notice to you
- May promote products through other channels (email, ads, partnerships)
- May compete with you for same audience
Affiliate:
- May participate in other affiliate programs
- May promote competing products (subject to best practices and avoiding conflicts)
- Has no exclusive territory or audience
- Has no guaranteed volume or earnings
12. REPRESENTATIONS & WARRANTIES
12.1 Mutual Representations
Each Party Represents and Warrants:

- Has full legal authority to enter this Agreement
- Is at least 18 years of age (or age of majority in jurisdiction)
- Is not restricted by court order from entering contracts
- Has capacity to perform obligations under this Agreement

- No additional approvals required
- Not in breach of other agreements

- Will comply with all applicable laws

12.2 Affiliate Specific Representations
By Participating, You Represent and Warrant That:

Truthfulness:
- All information provided in application is accurate and complete
- Disclosures about traffic sources and methods are truthful
- Have not omitted material information
- Will promptly update information if circumstances change

Good Standing:
- Have not been previously terminated from this Program for fraud
- Have not been banned from similar affiliate programs for violations
- Are not subject to ongoing investigations for affiliate fraud
- Have not engaged in chargebacks or payment disputes with CaPerfume

Compliance Commitment:
- Will comply with all terms of this Agreement
- Will follow FTC endorsement and disclosure guidelines
- Will adhere to brand guidelines and quality standards
- Will not engage in any prohibited activities

No Conflicts:
- Participation does not violate other contractual obligations
- Have rights to use platforms and traffic sources claimed
- Are not infringing third-party intellectual property rights
- Have necessary rights to content you publish

Promotional Methods:
- Traffic sources disclosed are accurate and complete
- Promotional methods comply with platform terms of service (Google, Facebook, etc.)
- Content is original or properly licensed
- Will not use deceptive or manipulative tactics

Technical Compliance:
- Will implement affiliate links correctly
- Will not modify, cloak, or manipulate tracking parameters
- Will not interfere with cookies or attribution
- Will use approved tracking methods only
12.3 CaPerfume Disclaimers
THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
CaPerfume Explicitly Disclaims:

Performance Warranties:
- No guarantee of earnings, traffic, or conversions
- No warranty of uninterrupted Program availability
- No guarantee tracking will be error-free
- No promise of specific commission amounts

Technical Warranties:
- No warranty of website uptime or performance
- No guarantee affiliate dashboard will be error-free
- No warranty tracking links will always function
- No guarantee of data accuracy in reporting

Implied Warranties:
- Merchantability (fitness for any particular purpose)
- Non-infringement (that Program doesn't violate third-party rights)
- Fitness for a particular purpose
- Course of dealing or usage of trade

Third-Party Services:
- No warranty regarding payment processors
- No control over platform policies (Google, Facebook, etc.)
- No guarantee third-party tracking integrations will work
- Not responsible for third-party service outages
12.4 Acknowledgment of Risk
YOU ACKNOWLEDGE:
- Affiliate marketing involves business risk
- No guarantee of profitability or success
- Commission rates and terms may change
- Program may be modified or discontinued
- Past performance doesn't predict future results
- Other affiliates may compete for same audience
- Consumer behavior and market conditions fluctuate
13. LIMITATION OF LIABILITY
13.1 Maximum Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
CaPerfume's Total Aggregate Liability for any and all claims arising from or related to this Agreement, the Program, or your participation shall NOT EXCEED:
THE TOTAL COMMISSIONS ACTUALLY PAID TO AFFILIATE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM
This Cap Applies:
- Regardless of theory of liability (contract, tort, negligence, strict liability, etc.)
- To all claims combined (not per claim)
- Even if CaPerfume was advised of possibility of damages
- To all CaPerfume entities, employees, and agents collectively
Example: If you earned $1,000 in last 12 months, CaPerfume's maximum liability for any issue is $1,000, even if your claimed damages are $10,000.
13.2 Excluded Damages - NO LIABILITY
CAPERFUME SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR:

- Not liable for lost conversions due to technical problems
- Not liable for dashboard errors or reporting mistakes
Third-Party Actions:
- Not liable for payment processor issues
- Not liable for platform policy changes (Google, Facebook banning accounts)
- Not liable for actions of other affiliates
- Not liable for customer actions (returns, complaints)
Market Conditions:
- Not liable for changes in consumer behavior
- Not liable for competition from other affiliates
- Not liable for seasonal fluctuations
- Not liable for economic downturns affecting sales
13.4 Affiliate Assumption of Risk
YOU EXPRESSLY ASSUME ALL RISK FOR:
- Success or failure of your affiliate marketing business
- Advertising costs and promotional expenses
- Platform compliance (risk of Google/Facebook account bans)
- Changes in search algorithms or social media policies
- Commission reversals due to returns or fraud detection
- Timing and amounts of commission payments
- Competition from other affiliates or CaPerfume's own marketing
13.5 Essential Purpose
YOU ACKNOWLEDGE:
- These limitations are a fundamental basis of the bargain
- CaPerfume would not offer the Program without these protections
- Limitations are reasonable given the nature of affiliate marketing
- You have had opportunity to seek legal counsel
- These limitations apply even if remedies fail their essential purpose
13.6 State Law Variations
Some jurisdictions do not allow:
- Limitations on implied warranties
- Exclusion of consequential damages
- Caps on liability
In Such Jurisdictions:
- Limitations apply to maximum extent permitted by law
- If any provision unenforceable, remainder remains valid
- Alternative dispute resolution (Section 16) may apply
14. INDEMNIFICATION
14.1 Affiliate Indemnification Obligation
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS:
- CaPerfume (EMRA LLC)
- Its parent, subsidiary, and affiliated companies
- Its officers, directors, employees, agents, and contractors
- Its successors and assigns
FROM AND AGAINST:
Any and all third-party claims, demands, lawsuits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and costs of litigation) arising from or related to:
14.2 Covered Claims & Situations
1. Your Promotional Activities:
- Claims arising from your content, advertising, or promotional methods
- Defamation, libel, or slander in your marketing materials
- False advertising or deceptive marketing practices
- Invasion of privacy or publicity rights violations
- Intellectual property infringement in your content
2. Your Violations:
- Breach of any term of this Agreement
- Violation of prohibited activities (Section 4)
- Fraud, cookie manipulation, or deceptive practices
- FTC disclosure violations or advertising law violations
- Platform terms of service violations (Google, Facebook, etc.)
3. Third-Party Rights:
- Infringement of trademarks, copyrights, or patents
- Unauthorized use of celebrity names or likenesses
- Plagiarism or unauthorized use of copyrighted content
- Trade secret misappropriation
- Violation of rights of publicity
4. Legal and Regulatory:
- Claims by regulatory agencies (FTC, state attorneys general)
- Consumer protection law violations
- Privacy law violations (GDPR, CCPA, COPPA)
- Unfair competition claims
- Anti-spam law violations (CAN-SPAM, TCPA)
5. False or Misleading Statements:
- Inaccurate product claims or descriptions
- Unauthorized health or medical benefit claims
- Price misrepresentations
- False scarcity or urgency claims
- Any statements causing consumer harm
6. Customer Harm:
- Direct customer interactions without authorization
- Unauthorized customer service or support
- Mishandling of customer data or information
- Disclosure of confidential customer information
14.3 Defense Obligation & Procedure
If Claim Arises:
1. Notice Requirement:
- CaPerfume will notify you promptly of any claim
- Failure to notify doesn't relieve your obligation unless materially prejudiced
2. Your Defense Obligation:
- You must provide legal defense at your expense
- Retain competent counsel acceptable to CaPerfume
- Cooperate fully with defense strategy
- Keep CaPerfume informed of all developments
3. CaPerfume's Rights:
- May elect to assume defense with counsel of its choice
- If CaPerfume assumes defense, you must cooperate fully at your expense
- CaPerfume may participate in defense at its own expense
- CaPerfume approval required for any settlement
4. Settlement Restrictions:
- You may not settle any claim without CaPerfume's prior written consent
- Consent will not be unreasonably withheld
- Any settlement must include full release of CaPerfume
- Settlement may not include admission of fault by CaPerfume

- Reimburse CaPerfume within 30 days of demand
- Interest accrues at 1.5% per month on unpaid amounts
- CaPerfume may offset against future commissions
- CaPerfume may pursue collections if not paid
14.5 Survival & Scope
This Indemnification:
- Survives termination of this Agreement indefinitely
- Applies to claims arising during participation, discovered later
- Applies even if you've stopped participating

- Internal metrics and performance data

- Supplier information and sourcing details

Customer Data:
- Customer names, emails, or order information
- Purchase history or behavior data
- Any personally identifiable information (PII)
- Customer demographics or analytics

Business Information:
- Financial information about CaPerfume
- Strategic plans and business strategies
- Marketing plans not publicly released
- Proprietary processes or methods
- Trade secrets

Communications:
- Non-public communications from CaPerfume
- Internal affiliate program updates

- Dispute resolution discussions
15.2 Confidentiality Obligations
YOU AGREE TO:

Prevent Disclosure:

- Do not post on public forums, social media, or review sites

- Do not share login credentials or dashboard access
15.3 Permitted Disclosures (Exceptions)

- Is publicly available through no fault of yours

- Compare rates to other programs
- Use rates to recruit others to the program
Consequences of Rate Disclosure:
- Breach of confidentiality
- Immediate termination
- Forfeiture of pending commissions
- Potential legal action for damages
15.5 Return of Materials
Upon Termination or Upon Request:

16. DISPUTE RESOLUTION & GOVERNING LAW

- Waive any objection to jurisdiction or venue

Agreement to Litigate in California:
- Even if you are located outside California
- Even if you are outside United States
- Regardless of where activities occurred
- Regardless of where damages occurred
16.3 Mandatory Binding Arbitration
For Disputes Under $10,000:
YOU AGREE:
- All disputes, claims, or controversies involving less than $10,000 SHALL be resolved through binding arbitration
- Arbitration conducted under American Arbitration Association (AAA) Commercial Arbitration Rules
- Single arbitrator selected per AAA rules
- Arbitration location: Santa Ana, California (in-person) or telephonic/video conference
Covered Disputes Include:
- Commission payment disputes
- Termination disputes
- Breach of contract claims
- Any dispute arising from or related to this Agreement
Arbitration Rules:
- Each party bears own attorneys' fees
- Arbitrator's decision is final and binding
- Very limited grounds for appeal (under Federal Arbitration Act)
- Judgment on award may be entered in any court
- Discovery limited to what arbitrator permits
Not Subject to Arbitration:
- Disputes over $10,000 (may be litigated)
- Claims for injunctive relief (trademark infringement, etc.)
- Collection actions for undisputed amounts owed
- Small claims court actions (if within jurisdictional limits)
16.4 Class Action Waiver
YOU EXPRESSLY WAIVE:

- Cannot join with other affiliates in consolidated action
- Cannot pursue multi-plaintiff litigation

- Cannot be combined with other affiliates' disputes
- Arbitration must be individual, not consolidated
This Means:
- You can only bring claims on your own behalf
- You cannot represent other affiliates
- You cannot benefit from class action lawsuits against CaPerfume
- Any dispute must be individual
Acknowledgment:
- You understand this limits your ability to seek remedies
- You knowingly and voluntarily waive class action rights
- This waiver is essential to the Agreement
16.5 Informal Dispute Resolution
Before Initiating Arbitration or Litigation:

- Specify relief sought
- Provide supporting documentation
2. Good Faith Negotiation:
- Parties will attempt to resolve informally for 30 days

3. Escalation to Formal Resolution:
- If not resolved in 30 days, may proceed to arbitration/litigation
- Requirement to negotiate first is mandatory
- Failure to complete 30-day period = dismissal of claim

- Preserves relationship if possible
- Avoids legal fees and time
16.6 Attorneys' Fees & Costs

- Applies even if you didn't discover issue immediately
16.8 Injunctive Relief
Notwithstanding Arbitration Agreement:
CaPerfume may seek injunctive relief in court for:
- Trademark infringement or IP violations
- Breach of confidentiality (Section 15)
- Continued use of brand assets after termination
- Ongoing prohibited activities
- Irreparable harm to brand or reputation
You Consent To:
- Expedited hearing for injunctive relief
- Temporary restraining orders without notice (if necessary)
- CaPerfume not required to post bond
- Injunctive relief available in addition to damages
17. GENERAL PROVISIONS
17.1 Entire Agreement
This Agreement Constitutes:
- The entire agreement between parties regarding the subject matter
- Supersedes all prior agreements, understandings, or communications (oral or written)
- Cannot be contradicted by prior or contemporaneous agreements
No Other Agreements:
- No verbal promises or representations bind CaPerfume
- No prior affiliate agreements remain in effect
- Email communications don't modify terms unless signed by CaPerfume officer

- Displaying notice in affiliate dashboard

No Oral Modifications:
- Agreement can only be modified in writing
- Email assent from CaPerfume officer required
- Customer service reps cannot modify terms
17.3 Severability
If Any Provision Found Unenforceable:
Severable:
- Unenforceable provision severed from Agreement
- Remaining provisions remain in full force
- Agreement continues to bind parties
Reformation:
- Court may reform unenforceable provision to be enforceable
- Reformed to achieve original intent to maximum extent possible
- Narrowed in scope if overbroad
Examples:
- If confidentiality period found too long, reduce to enforceable period
- If non-compete too broad geographically, narrow to enforceable scope
- If arbitration provision invalid in jurisdiction, litigation provisions apply
17.4 Waiver
Failure to Enforce ≠ Waiver:
CaPerfume's Failure To:
- Enforce any provision does not waive right to enforce later
- Exercise any right does not waive that right
- Insist on strict compliance does not prevent later enforcement
Waiver Requirements:
- Must be in writing
- Must be signed by CaPerfume officer
- Applies only to specific instance waived
- Does not waive future violations or other provisions
No Course of Dealing:
- Past leniency does not create ongoing entitlement
- Each violation may be enforced independently
- CaPerfume may change enforcement approach at any time
17.5 Assignment
Affiliate Cannot Assign:
- You may NOT assign, transfer, or delegate this Agreement or any rights/obligations
- Cannot assign to affiliate business, LLC, or corporation without consent
- Cannot transfer affiliate account to another person
- Cannot sublicense affiliate rights
Prohibited Assignments:
- Sale of affiliate business
- Business merger or acquisition
- Death or incapacity (estate cannot assume account)
- Attempted assignment is void
CaPerfume May Assign Freely:
- To parent, subsidiary, or affiliated company
- In connection with merger, acquisition, or sale of business
- To successor or assign
- No notice required
Effect of Prohibited Assignment:
- Assignment void and of no effect
- Grounds for immediate termination
- Forfeiture of all commissions

- Maintain current, accurate contact information
- Update promptly if email or address changes
- Check email regularly (daily recommended)
- CaPerfume not liable for notices to outdated contact info
Types of Notices:
- Termination notifications
- Investigation or fraud alerts
- Commission payment information
- Program updates and changes
- Legal demands or requirements
17.7 Force Majeure
Neither Party Liable for Delays Caused By:
Events Beyond Reasonable Control:
- Natural disasters (earthquakes, floods, fires)
- Acts of war, terrorism, or civil unrest
- Government actions (embargoes, regulations)
- Pandemics or public health emergencies
- Strikes or labor disputes
- Internet or telecommunications outages
- Power failures or utility disruptions
- Acts of God
Effect:
- Performance excused during force majeure event
- Deadlines extended by duration of event
- No liability for failure to perform
Does Not Excuse:
- Payment obligations
- Confidentiality obligations
- Obligations that can be performed despite event
Termination:
- If force majeure exceeds 90 days, either party may terminate
- Obligations as of termination apply
17.8 Relationship Acknowledgments
You Acknowledge:

- Not unconscionable or one-sided
- Appropriate for affiliate marketing relationship
17.9 Headings & Interpretation
Headings:
- Section headings for convenience only
- Do not limit or affect interpretation
- Not part of substantive Agreement
Interpretation:
- "Including" means "including but not limited to"
- "E.g." and "such as" are non-exhaustive examples
- Singular includes plural and vice versa
- "Or" is inclusive (and/or)
Construction:
- Agreement not construed against drafter
- Ambiguities not automatically against CaPerfume
- Interpret to give effect to intent of both parties

Provisions That Survive Termination:
Indefinitely:
- Section 4: Prohibited Activities (evidence of breach)
- Section 5: Fraud Detection (for clawback)
- Section 6: Commission Policy (final accounting)

17.11 No Third-Party Beneficiaries
This Agreement Is Between CaPerfume and Affiliate Only:
- No third parties have rights under this Agreement
- Customers are not intended beneficiaries
- Other affiliates have no rights
- CaPerfume employees/contractors not third-party beneficiaries
- Only parties to Agreement may enforce
17.12 Counterparts & Electronic Signatures
Agreement May Be Executed:
- In counterparts (each copy an original)
- Electronically (email acceptance, click-through)
- Digital signatures binding as wet ink signatures
Electronic Acceptance:
- Clicking "I Agree" or "Sign Up" constitutes binding signature
- Email confirmation of acceptance is valid
- Dashboard acceptance notification is binding

FINAL ACKNOWLEDGMENT & ACCEPTANCE
BY CLICKING "I AGREE," "SIGN UP," "ACCEPT," OR BY PARTICIPATING IN THE CAPERFUME AFFILIATE PROGRAM IN ANY MANNER, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
✓ You have carefully read and fully understand all terms of this Agreement, including all 18 sections
✓ You have had the opportunity to seek independent legal counsel and recommend doing so before accepting
✓ You voluntarily agree to be legally bound by all provisions of this Agreement
✓ You understand this is an enforceable contract with serious legal obligations and consequences
✓ You represent that all information provided is accurate and complete
✓ You understand violations result in immediate termination and forfeiture of all commissions
✓ You acknowledge CaPerfume's right to monitor, audit, and investigate your activities
✓ You agree to the limitation of liability and disclaimer of warranties in Sections 12-13
✓ You agree to binding arbitration for disputes under $10,000 and waive class action rights
✓ You agree to indemnify CaPerfume for claims arising from your activities
✓ You agree this Agreement may be modified at any time with notice
✓ You understand confidentiality obligations survive termination indefinitely
✓ You consent to exclusive jurisdiction in Santa Ana, Orange County, California
✓ You acknowledge NO GUARANTEE of earnings, conversions, or success
✓ You are at least 18 years old (or age of majority in your jurisdiction)
✓ You have authority to enter this Agreement on behalf of yourself or your business entity
